MEMORIES BY LOCKET: OFFICIAL CONTEST RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. THIS IS A SKILL CONTEST. WINNERS ARE CHOSEN BY JUDGES USING THE CRITERIA BELOW, NOT BY CHANCE. VOID WHERE PROHIBITED.

By entering this contest, you agree to be bound by these Official Rules.

LOCKET'S TERMS OF SERVICE LOCATED AT HTTPS://LOCKET.CAMERA/TERMS (THE "TERMS OF SERVICE") ARE HEREBY INCORPORATED INTO THESE OFFICIAL RULES BY REFERENCE. THE TERMS OF SERVICE CONTAIN AN AGREEMENT TO ARBITRATE THAT, WITH LIMITED EXCEPTION, REQUIRES YOU TO SUBMIT CLAIMS YOU HAVE AGAINST SPONSOR TO BINDING AND FINAL ARBITRATION. UNDER THE ARBITRATION AGREEMENT, (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST SPONSOR ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST SPONSOR RESOLVED BY A JURY OR IN A COURT OF LAW. SEE THE TERMS OF SERVICE FOR THE FULL DISPUTE RESOLUTION TERMS AND CONDITIONS. FOR THE AVOIDANCE OF DOUBT, ANY CLAIMS RELATED TO THE CONTEST ARE SUBJECT TO THE ARBITRATION AGREEMENT SET FORTH IN THE TERMS OF SERVICE.

Memories by Locket (the "Contest") is sponsored by Locket Labs, Inc., a Delaware corporation ("Locket" or "Sponsor"), 360 Pine Street, Unit 7, San Francisco, CA 94104. These Official Rules are in addition to the Terms of Service. For questions, contact [email protected].

The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least thirteen (13) years of age at the time of entry. Individuals under eighteen (18), or under the age of majority in their state, may enter only with the approval of a parent or legal guardian. Potential winners must be U.S. residents both at the time of entry and when the Prize is awarded.

The Contest is void outside the United States and wherever prohibited or restricted by law. Entries from outside the United States will not be considered.

By entering, each entrant represents that they have read and agree to these Official Rules, the Terms of Service, and the decisions of Sponsor, and that they are eligible. Failure to comply will result in disqualification.

The Contest has three (3) separate monthly entry periods (each an "Entry Period"). All times are Eastern Time ("ET").

Each Entry Period is judged separately. An entry is eligible only for the Entry Period in which it is posted and does not carry over to later Entry Periods. Entrants who are not selected may enter again in a later Entry Period with a new video. Sponsor's computer is the official timekeeping device for the Contest.

To enter during an Entry Period, an eligible entrant must:

The video must stay public and posted through the judging date for its Entry Period. Limit one (1) entry per person per Entry Period. If a person posts more than one video in an Entry Period, only the first eligible video counts. A video made with friends counts as one entry for the person who posts it.

No form or other step is required to enter. Entries submitted any other way are void. Sponsor is not responsible for entries it cannot see or find, including entries from private accounts, entries missing the tag or hashtags, or entries removed by the platform.

Each entry must: (a) be the entrant's own original work; (b) not contain nudity, sexual content, hate speech, harassment, alcohol, drugs, weapons, or illegal or dangerous activity; (c) not infringe anyone's copyright, trademark, privacy, or publicity rights; and (d) comply with the platform's terms and community guidelines. Sponsor may disqualify any entry that does not meet these requirements, in its sole discretion.

By entering, each entrant represents that they have permission from every person who appears or is identifiable in the video, including screenshots of messages, to include them in the entry. For anyone under 18 who appears, that permission must come from their parent or legal guardian.

Entrants keep ownership of their videos. By entering, each entrant grants Sponsor and its agents a non-exclusive, worldwide, royalty-free license, for two (2) years, to reproduce, repost, share, display, and comment on the entry, with credit to the entrant's handle, in connection with the Contest and the promotion of Locket, including through platform features such as repost, stitch, and duet. Sponsor will ask the entrant's permission before using a non-winning entry in paid advertising.

Potential winners are chosen by a panel of judges made up of Sponsor's staff. For each Entry Period, judges will score all eligible entries using these criteria:

The memory must also be something that can be done safely, lawfully, and within the prize value, and finished by June 30, 2027. Judges may decide an entry doesn't meet this requirement and skip it.

The cost of the memory, follower counts, likes, views, comments, shares, and any polls or public voting do not affect judging. If there is a tie, the entry with the higher Friendship and Story score wins. Judges' decisions are final and binding. One (1) potential winner will be selected per Entry Period. If a potential winner is disqualified or does not respond, the next-highest-scoring eligible entry from that Entry Period may be selected.

There will be three (3) prizes, one (1) per Entry Period. Each winner may invite up to three (3) friends of their choice ("companions"). A parent or legal guardian who travels with a winner under 18 does not count toward this limit. For each winner, Sponsor will pay up to $5,000 USD in total toward making the memory in the winning entry happen for the winner and their companions combined (the "Prize"). The actual value depends on the memory and may be less. The total approximate retail value ("ARV") of each Prize, including any parent or guardian travel, will not exceed $7,000 USD.

The Prize may cover approved costs such as flights, lodging, event tickets, activities, ground transportation, and meals. Sponsor will book and pay vendors directly, or reimburse pre-approved expenses with receipts. The Prize is not a cash award and will not be paid out as cash. Any unused amount is forfeited.

If the winner is under 18 and the memory involves travel, Sponsor will also cover reasonable travel and lodging for one (1) parent or legal guardian, up to $2,000 USD on top of the $5,000 above, so the total for that winner stays at or under $7,000 USD.

The Prize does not include passports, visas, travel insurance, gratuities, personal spending, or any cost Sponsor has not approved in writing. It does not cover alcohol, gambling, or any activity the winner or a companion is not legally old enough to do.

The memory must be scheduled with Sponsor and completed by June 30, 2027, subject to availability. If the memory can't be done as described, Sponsor may offer a different memory of equal or lesser value. Travel dates, once booked, may not be changed except at Sponsor's discretion. The winner and each companion must have valid travel documents. The Prize is non-transferable. Sponsor is not responsible for cancellations, delays, weather, or other changes by airlines, venues, or other third parties.

Taxes. The winner is responsible for all federal, state, and local taxes on the Prize. Winners of a Prize with an ARV of $2,000 or more will receive an IRS Form 1099-MISC and must provide a completed IRS Form W-9 before the Prize is awarded.

Potential winners will be contacted by direct message from Locket's verified @locketcamera account on the platform where they entered, within five (5) business days after judging. A potential winner must reply within five (5) business days. Otherwise they may be disqualified and an alternate selected.

Scam warning: Locket will only contact winners from its verified @locketcamera accounts. Locket will never ask for a payment, a password, or bank or card details to claim a Prize.

Before the Prize is awarded, the potential winner must provide proof of age, identity, eligibility, and their Locket username. Within seven (7) days of the request, they must also sign and return an Affidavit of Eligibility, a Liability Release, and, where lawful, a Publicity Release. Each companion must also sign a Liability Release and, where lawful, a Publicity Release before any booking is made.

The winner and companions agree to take part in reasonable content capture of the memory. This may include filming by themselves, or by a videographer arranged by Sponsor, and sharing Locket photos. Sponsor will get consent before recording any phone or video call. If the winner or a companion posts about the Prize, they must clearly disclose that Locket provided it (for example, #ad or "Locket paid for this trip").

If a potential winner is under 18, or under the age of majority where they live:

By entering, entrants agree: (a) to be bound by these Official Rules, the Terms of Service, and the decisions of Sponsor and the judges; (b) to release and hold harmless Sponsor and its officers, directors, employees, and agents from any and all liability arising out of or in connection with participation in the Contest or the acceptance, use, or misuse of any Prize, including any travel or activity that is part of a memory; and (c) that winners allow Sponsor to use their name, handle, city and state, likeness, and winning entry for promotional purposes without additional compensation, except where prohibited by law.

Sponsor and each of its parents, affiliates, subsidiaries, officers, directors, employees, agents, advertising, promotion and fulfillment agencies, and legal advisors are not responsible for, shall not be liable for, and hereby disclaim all liability arising from or relating to: (a) entries that are late, lost, incomplete, private, removed, or not visible to Sponsor; (b) telephone, electronic, hardware, software, network, Internet, platform, or other malfunctions, failures, or difficulties of any kind, whether human or technical; (c) failed, incomplete, garbled, or delayed communications; (d) any condition caused by events beyond Sponsor's reasonable control; (e) any injuries, losses, or damages of any kind arising in connection with or as a result of the Prize, any memory, or participation in the Contest; or (f) any printing or typographical errors in any materials associated with the Contest.

Sponsor reserves the right to disqualify any entrant who: (a) provides false, inaccurate, or misleading information; (b) is under 13 years of age; (c) tampers with the entry or judging process, including buying views, likes, or followers; (d) acts in any manner deemed by Sponsor to be unsportsmanlike, abusive, or disruptive, including harassing other entrants; or (e) is otherwise ineligible or in violation of these Official Rules or the Terms of Service.

Sponsor does not collect personal information from entrants beyond what is in their public post and profile. Potential winners and their companions will be asked to provide information such as name, email address, phone number, mailing address, date of birth, proof of identity, and, where required, tax information. Sponsor uses this only to verify eligibility, administer the Contest, and deliver the Prize.

Sponsor may contact potential winners and companions by direct message, email, phone, or SMS about the Contest only. Message and data rates may apply. Reply STOP to opt out of SMS. Sponsor's Privacy Policy is available at https://locket.camera/privacy.

Sponsor reserves the right, at its sole discretion, to cancel, suspend, or modify the Contest or any Entry Period if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest. In that event, Sponsor may judge eligible entries received before the cancellation or suspension using the criteria in Section 6.

The Contest is subject to all applicable laws. The Contest is in no way sponsored, endorsed, administered by, or associated with Apple Inc., Google LLC, TikTok, Instagram, Meta Platforms, Inc., or any other third-party platform. Each entrant releases those platforms from any liability in connection with the Contest. Any information provided by entrants is provided to Sponsor and not to any third-party platform. Questions about the Contest should be directed to Sponsor.

These Official Rules are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Official Rules will be resolved under the dispute resolution procedures in the Terms of Service.

Requests must be received within 90 days after the end of the final Entry Period. Residents of Vermont and Washington need not include return postage.
